2.2 The processing operations for which NewU acts as a processor are set out in Annex 1, Part A and fall within the scope of this Data Processing Agreement. Processing operations for which NewU itself determines the purposes and means of the processing do not fall within the scope of this Data Processing Agreement. For such processing operations, NewU acts as an independent controller and informs Data Subjects thereof by means of the Privacy Policy.

6.2 NewU shall inform the Organisation at least 14 days prior to the engagement of any new or replacement Sub-processor. Within this period, the Organisation may object in writing, stating its reasons, on compelling and demonstrable data protection grounds.

6.3 In the event of a well-founded objection, NewU shall seek an alternative or additional safeguards within thirty days. If this is not reasonably possible and the Sub-processor is necessary for a part of the Service, the Organisation may terminate the Agreement solely in respect of that part with effect from the date of engagement. Fees already paid shall not be refunded.

6.4 NewU shall impose on Sub-processors obligations at least equivalent to those set out in this Data Processing Agreement. NewU shall remain fully liable to the Organisation for the acts of its Sub-processors.

7.2 A request submitted by a Data Subject directly to NewU shall be handled by NewU if it concerns a processing operation for which NewU acts as an independent controller. If the request concerns a processing operation under this Data Processing Agreement, NewU shall forward the request to the Organisation without delay and shall provide the Organisation with the assistance referred to in Article 7.1.

Article 8 - Data Breaches

8.1 NewU shall inform the Organisation without undue delay after becoming aware of a Data Breach affecting processing operations under this Data Processing Agreement, and in any event within 48 hours of becoming aware thereof. Insofar as not all information is available at the time of the initial notification, NewU shall provide the additional information as soon as possible after it becomes available.

8.2 The notification shall contain at least the information the Organisation requires in order to comply with Articles 33 and 34 GDPR, including the nature of the Data Breach, the categories and approximate number of Data Subjects concerned, the likely consequences and the measures taken or proposed.

8.3 NewU shall provide reasonable assistance with notification to the Dutch Data Protection Authority (Autoriteit Persoonsgegevens) and, where necessary, to Data Subjects.

a. the audit shall be carried out by an independent auditor with appropriate expertise who is subject to appropriate confidentiality obligations;

b. the Organisation shall announce the audit in writing in advance and shall reasonably agree the scope, method and timing thereof with NewU; NewU may impose reasonable conditions where this is necessary for security, confidentiality or business continuity;

c. the scope shall be limited to compliance with this Data Processing Agreement in respect of the Organisation itself; access to data or systems affecting other customers of NewU is excluded, unless this is strictly necessary and appropriate safeguards have been put in place;

d. the Organisation shall bear its own audit costs. Reasonable costs of NewU agreed in advance for necessary cooperation with the audit may be charged separately, provided that such costs are not disproportionate or prohibitive.

Article 11 - Transfers outside the EEA

11.1 NewU processes and stores personal data within the European Economic Area, as further described in the Privacy Policy.

11.2 Transfers outside the EEA shall take place only where appropriate safeguards within the meaning of Chapter V GDPR have been put in place, such as standard contractual clauses adopted by the European Commission.

Article 12 - Liability

12.1 The liability of the Parties under this Data Processing Agreement shall be governed by the liability provisions of the General Terms and Conditions of Sale. The current version of the General Terms and Conditions of Sale can be consulted via www.newu-app.io/en/general-conditions-of-sale.

Article 13 - Term and termination

13.1 This Data Processing Agreement shall enter into force simultaneously with the Agreement and shall terminate by operation of law upon termination of the Agreement.

13.2 Upon termination of the Agreement, the Organisation shall choose whether NewU is to return or delete the personal data. If the Organisation chooses deletion, NewU shall delete the personal data within twenty days of termination, unless a statutory retention obligation precludes this.

13.3 The deletion of data in accordance with Article 13.2 applies to the personal data of invited employees who have not activated a personal account. From the moment an employee accepts the End User Terms and Conditions and activates his or her personal account, NewU processes the account data as an independent controller for its own purposes as described in the Privacy Policy. Such processing operations fall outside the scope of Article 13.2, and the personal account shall be managed in accordance with the Privacy Policy, including the retention periods and deletion rights set out therein.

Article 14 - Amendments

14.1 Each version of this Data Processing Agreement bears a version number and an effective date.

14.2 NewU shall inform the Organisation of substantive amendments in good time. A material amendment that adversely affects the rights or obligations of the Organisation shall require the Organisation’s consent.

14.3 The current version and an archive of previous versions are available via the NewU website.

14.4 This Data Processing Agreement was originally drawn up in Dutch. NewU may make translations available in other languages. In the event of any discrepancy between the Dutch text and a translation, the Dutch text shall prevail.

Article 15 - Order of precedence and governing law

15.1 This Data Processing Agreement is governed by Dutch law. Disputes shall be settled by the competent judge of the District Court of Amsterdam (Rechtbank Amsterdam).

15.2 In the event of any conflict regarding the processing or protection of personal data, this Data Processing Agreement shall prevail over the Agreement and the General Terms and Conditions of Sale, in accordance with the order of precedence set out in the General Terms and Conditions of Sale.

15.3 Provisions which by their nature are deemed to survive termination shall remain in force, including in any event the provisions concerning confidentiality, liability and governing law.
